M.A.R.S. Kit Software & Materials EULA
This End User License Agreement ("EULA") governs your access to and use of HeliosForged, M.A.R.S. operation files, probing templates, documentation, firmware, updates, and related digital materials (collectively, "Software & Materials") provided by Helios Systems, LLC.
By downloading, installing, or using Software & Materials, you agree to this EULA.
1. License grant
Subject to your compliance with this EULA, our Terms and Conditions, and any Entitlements assigned to your account, Helios grants you a limited, non-exclusive, non-transferable, revocable license to install and use Software & Materials solely for lawful Intended Use as described in product documentation.
2. Entitlements and restrictions
- Access requires an approved account and valid download entitlement (purchase or administrator grant).
- Unless expressly authorized in writing, you may not copy, distribute, sublicense, rent, lease, sell, or make Software & Materials available to third parties.
- You may not reverse engineer, decompile, or attempt to derive source code except where permitted by applicable law.
- You may not remove proprietary notices or circumvent access controls, licensing, or download protections.
- Machine control features send commands to your CNC controller. You are solely responsible for safe setup, tooling, workholding, and operation.
3. Updates
Helios may provide updates, patches, or revised operation files through account-gated downloads. Updates are licensed under this EULA unless accompanied by separate terms.
4. Ownership
Helios Systems, LLC and its licensors retain all right, title, and interest in Software & Materials. No ownership transfers to you.
5. Safety notice
Software stop, hold, and reset controls communicate with your machine controller. They are not substitutes for physical emergency-stop devices, machine interlocks, or operator training. Maintain proper machine safeguards at all times.
6. Disclaimer
SOFTWARE & MATERIALS ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW.
7. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, HELIOS SYSTEMS, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR MACHINE, TOOL, WORKPIECE, OR PRODUCTION LOSSES ARISING FROM USE OF SOFTWARE & MATERIALS. HELIOS'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE APPLICABLE LICENSE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
8. Termination
This license terminates automatically if you breach this EULA or our Terms. Upon termination, you must cease use and destroy copies in your possession. Helios may revoke account access and entitlements at any time for breach or security reasons.
9. Governing law
This EULA is governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-law principles, subject to mandatory consumer protections that may apply in your jurisdiction.
