Terms of Online Sale + Account-Gated Access + Product Rules (M.A.R.S. Kit)
This document contains important information regarding your rights and obligations, including disclaimers of warranties, limitations of liability, a class action waiver, binding arbitration, and indemnification obligations. Please read it carefully.
By (A) placing an order, (B) creating or using an account, (C) downloading/installing any software or digital materials, (D) submitting a 3D-print quote or manufacturing request, or (E) accessing or using the M.A.R.S. Kit, you accept and are bound by these Terms.
1. Definitions
M.A.R.S. Kit / Product means the modular kit and related deliverables offered by Helios Systems, LLC, including hardware, fixtures, alignment members, electrical isolation components, probing components/blocks, plugs/inserts, tools, firmware, software, applications, downloads, documentation, updates, and any related digital materials (collectively, "Software & Materials").
Software & Materials includes installers, apps, firmware, updates, documentation, and pre-configured machine control instructions.
Account means a user account created on or through our website for access to Software & Materials and related services.
Entitlements means access rules and limits defined by Helios Systems, LLC (e.g., device limits, concurrent sessions, download frequency, geographic restrictions).
Intended Use means use only for lawful purposes and only in accordance with written documentation and safety instructions, and subject to applicable law.
Customer Files means STL files, CAD, notes, and other design data you upload or send for a 3D-print quote or manufacturing job.
Print Service means FDM printing and related shop work: machine time, material, packaging, and shipping of physical parts. Print Service does not include sale or transfer of the underlying design.
2. Account-Gated Access
- Access to Software & Materials (downloads, updates, documentation, support) requires an account.
- You agree to provide accurate, current information and keep it updated.
- Accounts are personal unless organization/team accounts are expressly offered. You may not share, sell, transfer, or sublicense credentials.
- Helios Systems, LLC may suspend or terminate accounts for breach, credential compromise, unauthorized sharing, abuse, or security/compliance requirements.
3. Software License
Software & Materials are licensed, not sold. Access and use are conditioned on: (a) an Account in good standing; (b) Entitlements; and (c) acceptance of the M.A.R.S. Kit Software & Materials EULA. Affirmative acceptance of the EULA is required before downloading, installing, or using Software & Materials.
4. Orders, Payment & Shipping
- Submitting an order through heliopshub.com is an offer to buy, not a completed sale. Helios Systems, LLC may accept, modify, or reject any order in its sole discretion.
- An order becomes binding only after we confirm acceptance and you agree to final pricing, shipping, tax, and payment terms we provide.
- Online checkout can process card payments through Stripe. Invoice or manual payment (including wire, check, or purchase-order handling) remains available when you select that option or when card checkout is not used.
- Hardware ships after payment is confirmed. Shipping practices are described on the Shipping page.
- Prices may change without notice. Taxes and shipping/handling are additional unless stated otherwise.
- Title and risk of loss pass to you upon transfer to the carrier. Delivery dates are estimates only.
- Restricted-state and compliance verification requirements for regulated products must be satisfied before shipment.
5. 3D printing and manufacturing services
A print quote or manufacturing order is a request for Print Service — machine time, material, packaging, and shipping — not a purchase of, license to, or sale of the design in your Customer Files. You keep whatever copyright or other intellectual-property rights you already have in those files. Helios Systems, LLC does not claim ownership of your designs by quoting, slicing, or printing them.
By uploading or sending Customer Files you represent and warrant that: (a) you own the files or have a valid license or other legal right to have them manufactured; (b) the files and the resulting parts will not infringe any copyright, trademark, patent, trade secret, publicity, or other right of any third party; and (c) production will not violate export, weapons, or other applicable law. You are solely responsible for confirming that your files may be printed.
Helios Systems, LLC is a manufacturing service provider. We do not review Customer Files for copyright or other intellectual-property clearance, and we have no duty to do so. To the fullest extent permitted by law, Helios Systems, LLC is not liable for any claim, loss, or damages arising from Customer Files you submit or from parts printed from those files, including alleged copyright, trademark, or patent infringement.
You grant Helios Systems, LLC a limited, non-exclusive license to store, preview, slice, print, package, and ship the job, and to keep copies as needed for quoting, production, quality, and records. We do not sell, publish, or reuse your designs as our products.
Helios may decline or cancel a job that appears infringing, unlawful, unsafe, or outside shop capability. You agree to defend, indemnify, and hold harmless Helios Systems, LLC and its officers, employees, and agents from any claim, demand, loss, or expense (including reasonable attorneys’ fees) arising from Customer Files you submit, including alleged intellectual-property infringement.
Physical parts are sold as manufactured goods. Fit, function, and dimensional results depend on the files and settings you choose. Estimates are not a warranty of end-use performance.
6. Returns & Refunds
All sales are final. No refunds. This includes Software & Materials and any account-gated access once provided. Any exception must be in a signed writing by Helios Systems, LLC. See the Returns page for the same rule in standalone form.
7. Lawful Use & Safety
You are solely responsible for compliance with all applicable federal, state, and local laws. The Product may be used with powered machinery. You assume all risks relating to setup, tooling, machine selection, calibration, safe operation, and execution of any machine control instructions.
8. Disclaimers & Limitation of Liability
Products, Print Service, and Software & Materials are provided "as is" without warranties of any kind, express or implied, to the fullest extent permitted by law. Helios Systems, LLC is not responsible for machine, tool, or workpiece damage caused by program execution or operator setup. Helios Systems, LLC is not liable for intellectual-property claims arising from Customer Files or from manufacturing parts from those files.
9. Privacy
Our data practices are described in the Privacy Policy. Authentication, order, and download logs may be maintained to protect the website, product ecosystem, and users.
10. Dispute resolution
Any dispute arising from these Terms or your use of our products shall be resolved by binding arbitration in Williamsburg, Virginia, except that either party may seek injunctive relief in court for intellectual property or unauthorized access. You waive the right to participate in a class action to the fullest extent permitted by law.
11. Governing law
These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-law principles.
12. Changes
Helios Systems, LLC may revise these Terms by posting an updated version on this page with a new version date. Continued account use, orders, print-quote submissions, downloads, or product use after the effective date constitutes acceptance.
